General Terms and Conditions

Binding Effect

  1. A legally binding contract is deemed to be created between FORMULAMASA PLT (Reg.
    No.: 202304000665 (LLP0034594-LGN)) (the “Company”) and the third party in which the
    third party accepts, engaged and/or subscribed to any quotation(s), promotion(s), package(s),
    service(s), product(s) and/or offer(s) made by the Company (the “Client”) and the Client hereby
    agree to be subjected to the terms and conditions herein as well as any further and/or additional
    terms specified in the Company’s website, invoice(s), brochure(s), promotional material(s)
    and/or any other documentation(s) that is deemed official by the Company (“Contract”).
  2. For avoidance doubt, the acceptance by the Client to be bounded by this Contract shall include
    any form of express acceptance made either digitally, electronically, manually, by hand or any
    other methods and manners that is deemed appropriate and/or applicable under the law, which
    includes but not limited to digitally clicking, ticking, marking and other acceptable digital forms
    in expressing acceptance to be bounded by the terms and conditions contained herein.
  3. The Client hereby expressly agrees that any and all terms and conditions contained herein shall
    be applicable and enforceable towards any form of services offered, rendered, promoted or
    marketed by the Company which includes any promotions, offers, Services and/or subscriptions
    formulated by the Company in the rendering of the service(s) to the Client (“Services”).
    Term & Tenure
  4. Any and all terms and conditions contained herein shall be enforceable upon the acceptance of
    any of the Company’s Services and shall subsists until or unless the Client disengages,
    discharges and/or unsubscribe to the Services engaged or upon termination of either the
    Company or the Client in accordance with the terms and conditions of this Contract.
  5. For avoidance of doubt, the term and tenure of the Client’s engagement with the Company in
    respect of the Company’s Services shall depends on the Services subscribed and/or engaged by
    the Client.
  6. The Company reserve its rights to terminate, block, and/or suspend any Client from any of the
    Company’s Services without prior notification to the Client and in the event that the Client
    wishes or intends to terminate its engagement with any of the Company’s Services, the Client
    shall notify the Company in writing notifying its intention to do so and such termination shall
    be accompanied with reasonable and justifiable grounds.
  7. For avoidance of doubt, pursuant to clause 6 above, the Company shall have similar power,
    authority and rights over situations and/or events whereby the Client fails to adhere to any
    and/or all terms and conditions contained herein and/or failure of any monetary commitments
    of the Client to the Company based on the Services engaged and/or subscribed.
  8. This Contract shall be deemed to have been mutually terminated upon the Services engaged
    and/or subscribed by the Client have been fully satisfied, performed and/or rendered by the
    Company and any and/or all monetary obligations by the Client to the Company in
    consideration of the Services have been fully settled.
    Services
  9. The Company shall undertake to perform the Services to the Client to the extent as that
    subscribed and/or engaged by the Client only. The Company reserves the right to impose
    additional charges, fees and/or levies upon any additional services beyond the agreed
    engagement of the Services by the Client.
  10. The Company further reserves the right to withdraw any and/or all offers and/or promotions
    pertaining to any Services of the Company without prior notification to the Client.
  11. The Company shall only commence the Services upon the express acceptance of the Client to
    be bounded by the terms and conditions of this Agreement and the full satisfaction and settlement of any invoice by the Company pertaining to the Services engaged and/or subscribed as well as the Company receiving full and complete disclosure of information and/or data from the Client and said Services shall be completed within thirty (30) days.
  12. Pursuant to Clause 11 above, in the event the Services have yet to be completed within the
    prescribed time period, then the Company reserves the right to vary, amend, alter or change the
    Services and the Client shall not in any form or manner claim against the Company for such
    variations made.
  13. In the performance of the Services, the Company and the Client shall agree upon a date in which
    the Services shall performed. The Client hereby agreesthat any variation, cancellation, changes,
    alteration, amendments to the time or date being agreed upon, the Company reserves the right
    for any form of remedial actions available in remedying or rectifying the changes made and
    such right is the absolute discretion of the Company and the Client shall agree to any such
    remedial actions taken.
  14. The manner in which the Company undertakes to perform or render its Servcies to the Client
    shall be either in digital, online, virtual or physically in person. In the event that the Services
    are to be rendered physically in person, the location and the designated area in which the
    Services to be rendered shall be determined by the Company. In this regard, the Company
    reserves the right to impose additional fees and/or charges against the Client for any changes
    in the location and/or designated area as that requested by the Client.
  15. The Client hereby agrees to accurately, completely and fully disclose of any information and/or
    data, to the Company, which may include any form of data and/or information that is deemed
    confidential under the law and disclosure of such data or information shall only be for the
    purposes of the Company rendering the Services to the Client. Such data shall include but not
    limited to private and personal information, medical records and history, financial records and
    history and other information that may deemed pertinent and material for the Company to
    render the Services.
  16. The Client acknowledges and understands that the Company may not be able to fully render
    the Services if the Client refrains from disclosing such information and in such manner and that
    the result of the rendering of the Services as that represented by the Company may differ
    materially.
  17. The Client shall at all times ensure that in the event the Company requires certain acts and/or
    omissions to be undertaken by the Client, it shall be undertaken without undue delay and the
    Client hereby acknowledges that time is of the essence.
  18. The Client hereby expressly been made aware that in the performance of the Services, religious
    opinions or views may be utilised by the Company however any such views shall be based upon
    an agreed perspective of opinions and views. Such opinions or views shall be based on the
    religion of Islam. The Client may, upon notification to the Company request for said views or
    opinions to be omitted from the Services.
    Third Parties
  19. The Client hereby agrees and express its consent for the Company to disclose any information
    disclosed in accordance with this Contract, to any third-party (which includes professionals,
    experts, and/or accredited and competence persons of various areas or fields of expertise)
    provided such disclosure is essential in the performance of the Services by the Company.
  20. The Client hereby acknowledges and understands that in the performance of the Services, the
    Company may request the presence of Client’s guardian, next-of-kin or nominee selected or
    appointed by the Client throughout the performance of the Services and in such situations, the
    Client hereby agrees to allow and permit the Company to disclose any information pertaining
    to this Contract and the Services to such persons.
  21. The Company may request the client to provide a formal statement testifying the overall
    performance of the Services or the Company itself and such statement shall be utilised by the Company for any marketing and/or promotional purposes which includes disclosure to third parties and through public platforms (digital or otherwise) PROVIDED the Company obtains express consent from the Client. In this regard, the Client may request the Company to refrain from disclosing any such information regarding the statement or the Client.

Variation and Modification of Fees and/or Offers

  1. The Company reserve the right to vary, modify and/or amend any amount quoted on any official
    documentation of the Company, which includes but not limited to promotional materials, offers,
    brochures, and/or pamphlets, without prior approval from any Client.
  2. We further reserve the right to accept or reject any form of negotiation(s) proposed by any
    Client on any amount, fees and/or charges quoted, service(s) engaged and/or subscribed, or any
    form of promotions offered.
  3. The amount quoted may also be varied, subject to any changes in the law of Malaysia which
    shall include but not limited to the changes in taxation laws.
  4. Any variation, modification and/or amendments to the amount quoted shall be notified by our
    company within a reasonable time.
  5. The Company further reserve its rights to withdraw any offers, services and/or promotions at
    any time without prior notice to any Client.
    Validity of Quotations
  6. All quotations which include any other official documentations such as invoices and proforma
    invoices submitted by the Company to any third party shall have a validity period of fourteen
    (14) days only from the date of the quotation.
  7. In the event of non-response from any third party or client, after the expiry of the quotation
    validity period, the Company reserve its rights to render the said quotation and other
    documentations attached to it as invalid. Further, the Company reserve its rights to issue a new
    quotation which may include varied fees, charges, services and/or offers.
  8. In the event the Client agrees and accepts the quotation, any and all terms and conditions
    contained in the quotation therein, in this document herein and any other policies of the
    Company shall be binding and enforceable. For avoidance of doubt, this shall include any
    monetary commitments and/or obligations by the Client to the Company.
    Payments and Bank Details
  9. If for any reason whatsoever the Services does not proceed and/or is aborted after payments
    have been made to our bank account, it shall be deemed that you have forfeited the rights to be
    indemnified as the sum remitted shall be considered as fees payable to us in commensuration
    with any work done and any costs incurred in preparation of such work(s).
  10. Pursuant to Clause 30 above, this shall include the failure on part of the Client in completely,
    fully and accurately disclosing of essential information and/or data pertinent or material for the
    Company in performing the Services, within thirty (30) days from the date the Client engages
    the Company’s Services.
  11. Any form of refunds, exchanges or other manners of remedial manners requested by the Client
    in circumstances in which the Services does not proceed and/or aborted, the Company shall
    have discretionary powers in accepting or rejecting any such requests.
  12. Payments shall only be in the currency of Ringgit Malaysia (MYR) only and by way of cash,
    direct transfer and/or cheque. However, if the payment is made via cheque, the Services shall
    be on hold until the cheque is cleared by the appropriate financial institution and that the
    payment has reflected in the Company’s bank account. In the event the Clients are of foreign
    origin (not a registered entity within the laws of Malaysia), the Clients shall have the option to opt to payments in the currency of United Stated Dollars (USD) and/or in MYR and in the event that the transactions use USD as its transacted currency, the Company reserve its rights to determine and/or change any amount quoted to suit the changes in the currency.
  1. Any and all payments to be made by any Clients shall be made payable to our designated bank
    account, either through direct transfer, online banking, cash, cheques, bank drafts and/or any
    online or digital payment systems either proprietary or non-proprietary of the Company which
    includes but not limited to any third-party payment systems implemented by the Company and
    such details are as follows:

  2. The Company may adopt to use third-party systems (and other related systems in connection
    thereof) as a form of method and manner of payments due to the Company for the Services. In
    this regard, the Client hereby agree to hold the Company harmless against any losses, claims
    and/or liabilities incurred by the Client for the usage of the said system(s) in which such losses
    occur due to factors beyond the control of the Company.
  3. The Client hereby agree that the Company shall have full discretionary powers in determining
    any form waiver, either fully or partially for any monetary obligations by the Client to the
    Company for the Services. This shall include any adoption of alternative methods and manner
    of consideration to the Services. In the occurrence of such event, the Client hereby agrees that
    the Client shall at all times still be bounded by the terms and conditions of this Contract and
    (unless otherwise consented in writing) the Company reserves all rights and entitlements due
    from the Client under this Contract.
    Confidentiality
  4. Any documents and overall information forwarded by us to you shall be deemed as confidential.
    This shall include this term sheet and any information contained herein either wholly or partly.
    The Client shall not disclose any part thereof to any third party without our prior consent.
  5. Any data, information, software, updates, upgrades, formulas, tradenames, business names,
    systems, codes, trademarks, logos, whether it be registered and/or unregistered which is in the
    possession of the Company, either in digital or written format, shall belong solely to the
    Company and no other third party shall use, copy, duplicate, utilise, distribute, promote and/or
    any other acts or omission that is deemed or caused to be deemed as infringement of the
    Company’s trade secret which may impact negatively upon the Company, unless otherwise
    consented in writing by the Company.
  6. For the purpose of commencement and undertaking the services prescribed, the Company may
    require several information and/or data regarding the Client company that may or may not
    include sensitive, private and confidential information.
  7. The Company hereby undertake that any and all information receive by the Company either
    wholly or partly shall be kept safe, private and confidential.
    Liability
  8. The Company shall not be held responsible for any liabilities, losses, charges and/or claims
    airing either directly or indirectly from the usage of our system that is beyond the control of our
    Company and beyond the ability to be remedied by our Company
  9. For avoidance of doubt, Clause 41 above shall include any offers, promotions, services and/or
    products offered by any other third parties either directly or indirectly promoted by the
    Company which includes but not limited to offers included in the Company’s promotional
    advertisements and Services.
  10. The Company reserve its rights to commence any legal proceedings and actions against the
    Client in the event of breaching any of the terms and conditions contained herein as well as
    breaching any of the Company’s terms, conditions, policies and/or guidelines.
  11. The Company shall not be held liable and/or responsible for any outcomes that negatively affect
    the Client as a result of the Services in which such result stems from factors that is beyond the
    control of the Company.
  12. The Company shall, at the best of its ability, perform the Services to achieve a positive outcome,
    however, the Company disclaim any representations, warranties or covenants made by the
    Company, its personnel, representatives, staffs or agents pertaining to any form of guarantee,
    either verbally or in writing, that the performance of the Services shall result in positive
    outcomes to the Client.
  13. The Company shall not be liable and/or responsible for any non-performance or lack thereof,
    of any of the Services if such performance of the Services, either partly or wholly is interrupted,
    disrupted, interfered, delayed, aborted, terminated or any acts or omissions by the Client that
    cause the Company unable to perform the Services.
  14. The Client further agrees that the performance of the Services is based on the information
    disclosed. Any untrue, incomplete, false or misleading information disclosed may cause the
    non-performance of the Services, and in such event the Company shall not be held responsible.
  15. The Client hereby acknowledges any and/or all risks either directly or indirectly, either legally
    or financially, which may occur as a result of the performance of the Services and shall hold
    the Company harmless against any losses or liabilities that might occurred and/or incurred.
  16. The Client hereby expresses the voluntariness and willingness in seeking the Services and
    accepts any risks in connection with it and shall not claim against the Company for any such
    risks being occurred either directly or indirectly to the Client, its representatives or its nominees.
  17. The Client hereby releases and discharges the Company, its representatives, affiliates,
    members, agents, successors, predecessors and/or permitted assignees, apart from which it is
    order and/or order by the court, from any liabilities, losses, and claims in connection with the
    Services.
    Intellectual Property
  18. Any Intellectual Property belongs to the Company which may be in possession of the Client
    which may include but not limited to, in any manner or form, either derived through written
    texts, documentations, digital or print form, and any other similar form or manner shall vest
    with the Company and shall not be construed in any way as transferring of any or all legal and
    equitable rights to the Client.
  19. The Client shall indemnify the Company and hold the Company safe and harmless from and
    against all actions, claims, demands, costs, charges, and expenses arising from any infringement
    or alleged infringement of any letters, patent, design, copyright, trademarks or names or other
    industrial property rights arising out of or in connection with Services.
    Other Terms
  20. The Company further reserves its right to amend, vary, modify, change any of the Company’s
    terms, conditions, policies without prior express consent of the Client. However, the Company
    shall notify the Client of any changes that occurred promptly.
  21. Any dispute between the Company and the Client, shall be resolve amicably through proper
    discussions in good faith.
  22. Any confidentiality terms mentioned in this Contract shall survive any manner of termination
    for a period of thirty-six (36) months upon termination of this Contract.
  23. This document shall be governed and construed in accordance with the laws of Malaysia.

partnership incorporated under the laws of Malaysia (the “Company”, “we”, “us” and/or “our”)
recognise the importance of privacy and the overall sensitivity of personal data and information. As
required under the Personal Data Protection Act 2010 (“the Act”), the purpose of this Personal Data
Protection Notice (the “Notice”) is for the adherence of the regulations set forth under the Act and shall
at all times act as the official notice of the Company in describing how the Company manages,
safeguards, collects, gather, and process your personal data when you appoint and/or engage our
services, use or access our website and other digital platforms of the Company and/or interact with us
in any capacity which includes through meetings, seminars, conferences, discussions and/or events.

Peribadi 2010 (“Akta”), tujuan Notis Perlindungan Data Peribadi ini (“Notis”) adalah untuk mematuhi
undang-undang yang ditetapkan di bawah Akta dan setiap saat akan bertindak sebagai notis rasmi
Syarikat dalam menerangkan bagaimana Syarikat mengurus, melindungi, mengumpulkan, dan

perkhidmatan Syarikat, menggunakan atau mengakses laman web Syarikat dan platform digital lain

Henceforth, by submitting your own or another individual’s personal data, you confirm that you and
such other individual agree to the Company’s collection, usages and disclosure of such data in
accordance with this Notice. Please consider that at this time in this Notice, we have expressed and

yang ditentukan dalam Notis ini, jangan serahkan kepada Syarikat dan/atau mana-mana perwakilan
Syarikat apa-apa maklumat dan data tersebut, tetapi jika tidak, anda dengan ini bersetuju dan mengakui
kewujudan Notis ini dan dengan demikian memahami dan menyetujui kandungan Notis ini.

This Notice may be amended and/or updated from time to time without prior notice. By continuing to
use or engage our services, usage of website and/or to communicate with us subsequent to any
amendments and updates to this Notice, it shall be construed and confirmed your acceptance to said

Personal data generally means any such information and/or data that may be used to identify you which
includes but not limited to identification details, contact details and any other information which may
lead to your identification.
Data peribadi secara amnya bermaksud apa-apa maklumat dan/atau data yang mungkin digunakan
untuk mengenal pasti identifikasi anda yang merangkumi tetapi tidak terhad kepada maklumat
pengenalan, maklumat hubungan dan maklumat lain yang boleh menyebabkan pengenalan diri anda.


The Company may from time to time collect personal data in the course of our services by which the
data is provided by yourself and or your representatives and or by any individual on your behalf in
which case, we will assume, until notified otherwise, that you have authorised the disclosure of such
data to us.
Syarikat boleh dari semasa ke semasa mengumpulkan data peribadi semasa perkhidmatan kami di mana
data tersebut diberikan oleh diri sendiri dan atau wakil anda dan atau oleh mana-mana individu bagi
pihak anda dalam hal ini, Syarikat akan menganggap, sehingga diberitahu sebaliknya, bahawa anda
telah membenarkan pendedahan data tersebut kepada Syarikat.


The Company may also, from time to time, collect personal data through the access of our website
and/or any digital platforms owned and operated by the company for the purpose of communications,
subscriptions and enquiries with regard to our company and/or our services.
Syarikat juga, dari semasa ke semasa, mengumpulkan data peribadi melalui akses laman web Syarikat
dan/atau platform digital yang dimiliki dan dikendalikan oleh Syarikat untuk tujuan komunikasi,
langganan dan pertanyaan berkenaan dengan Syarikat dan/atau perkhidmatan Syarikat.


Personal data collected will be mainly provided by you, however some personal data may also be
collected by us from other available sources which includes but not limited to credit reporting agencies,
government department or agencies, public registries, websites, social media, publications, events,
seminars and conferences for the purpose rendering our services to you and compliance with legal and
regulatory requirements under the laws of Malaysia.
Data peribadi yang dikumpulkan akan disediakan terutamanya oleh anda, namun beberapa data peribadi
juga mungkin Syarikat kumpulkan dari sumber lain yang tersedia yang merangkumi tetapi tidak terhad
kepada agensi pelaporan kredit, jabatan atau agensi kerajaan, daftar awam, laman web, media sosial,
penerbitan, acara, seminar dan persidangan untuk tujuan memberikan perkhidmatan Syarikat kepada
anda dan pematuhan dengan kehendak undang-undang dan peraturan di bawah undang-undang
Malaysia.


USAGE OF PERSONAL DATA
KEGUNAAN DATA PERIBADI

Your personal data is collected and processed by us for our business activities which includes but not
limited to the following purposes:
Data peribadi anda dikumpulkan dan diproses oleh Syarikat untuk aktiviti Syarikat yang merangkumi
tetapi tidak terhad kepada tujuan berikut:


a) to verify your identity;
a) untuk mengesahkan identiti;


b) to communicate with you including responding to your enquiries;
b) untuk berkomunikasi dengan anda termasuk menjawab pertanyaan anda;

c) all purposes related to or in connection with our engagement;
c) semua tujuan yang berkaitan dengan perkhidmatan Syarikat;


d) to comply with legal and/or regulatory requirements including court orders;
d) untuk mematuhi undang-undang dan/atau peraturan termasuk perintah mahkamah;


e) for our day-to-day operations and administrative purposes including file management, billing
and collection, audits, reporting, investigations etc.;
e) untuk tujuan operasi dan pentadbiran harian Syarikat termasuk pengurusan fail, pembilan dan
pengumpulan, audit, pelaporan, penyiasatan dll;


f) for the purposes of enforcing or defending our legal rights and/or obtaining legal advice;
f) untuk tujuan menegakkan atau mempertahankan hak Syarikat di bawah undang-undang
dan/atau mendapatkan nasihat undang-undang;


g) to send you materials or publications including newsletter, articles or updates or information
about events, conferences, seminars, talks which may be of interest to you;
g) untuk mengirimi anda bahan atau penerbitan termasuk buletin, artikel atau kemas kini atau
maklumat mengenai acara, persidangan, seminar, ceramah yang mungkin menarik bagi anda;


h) to promote, offer or market our services to you;
h) untuk mempromosikan, menawarkan atau memasarkan perkhidmatan Syarikat kepada anda;


i) to send as potential referees that may assist the growth of your business;
i) untuk menghantar sebagai rujukan yang dapat membantu pertumbuhan anda;


j) to assist in the prevention, detection or investigation of crime or possible criminal activities or
for the administration of justice;
j) untuk membantu dalam pencegahan, pengesanan atau penyiasatan jenayah atau kemungkinan
kegiatan jenayah atau untuk pentadbiran undang-undang;


k) for security and internal audit purposes;
k) untuk tujuan keselamatan dan audit dalaman;


l) for such other purposes as may be directed or consented to by you; and
l) untuk tujuan-tujuan lain yang mungkin diarahkan atau dipersetujui oleh anda; dan


m) for all other purposes in relation to or incidental to the above.

DISCLOSURE OF PERSONAL DATA
PENDEDAHAN DATA PERIBADI

Under certain circumstances, we may be required to disclose your personal data to third parties. Third
parties to whom your personal data may be disclosed by us are as follows:
Dalam keadaan tertentu, Syarikat mungkin diminta untuk mendedahkan data peribadi anda kepada
pihak ketiga.Syarikat mungkin akan mendedahkan data peribadi anda kepada pihak-pihak seperti
berikut:

a) any persons directed by or consented to by you;
a) mana-mana orang yang diarahkan atau dipersetujui oleh anda;


b) any persons required for the purposes of the legal engagements and/or legal transactions
including but not limited to counter parties, other advisors, financial institutions, regulatory
bodies etc;
b) mana-mana orang yang dikehendaki untuk tujuan-tujuan perundangan dan/atau transaksi
undang-undang termasuk tetapi tidak terhad kepada pihak lawan, penasihat lain, institusi
kewangan, badan autoriti dll.


c) any person for the purposes of compliance with legal and regulatory requirements;

f) our professional advisors including but not limited to legal advisors, tax advisors, financial
advisors, auditors, insurance brokers etc.
f) penasihat profesional Syarikat termasuk tetapi tidak terhad kepada penasihat undang-undang,
penasihat cukai, penasihat kewangan, juruaudit, broker insurans dll.

Further, we may also be required to transfer your personal data outside of Malaysia for the purposes
and to such third parties stated in this Notice. The transfer of your personal data outside Malaysia would
also be required if you are travelling, residing or based outside Malaysia.
Selanjutnya, Syarikat mungkin juga diminta untuk memindahkan data peribadi anda ke luar Malaysia
untuk tujuan dan kepada pihak ketiga seperti yang dinyatakan dalam Notis ini. Pemindahan data
peribadi anda ke luar Malaysia juga diperlukan sekiranya anda melancong, menetap atau tinggal di luar
Malaysia.

Syarikat mengakui bahawa anda berhak dalam menentukan maklumat yang ingin anda berikan kepada
